Novation means innovation → New contract of incorporation In Austrian and German law of indebtedness, this is understood to mean a schooling in terms of content, by which the parties agree either to change the legal basis or the main object / contract object. The widely-held view that the Novation is not a new treaty, but that the old treaty is continued with altered content, goes into law; The Novation is a transcendental extinction ground for the extinction of guilt. The old debt relationship expires completely, a new one is to replace this. According to the case-law of the Federal Court of Justice on the existence or non-existence of a novation, even with conceded treaties there is even a presumption that the intention of the parties is to be interpreted as meaning that the old contract should be extinguished. If, on the other hand, the parties agree on a "supplement to the contract" or an "addendum", a change in the guaranty in the prevailing sense is to be expected on a regular basis, with the result that the existing contract is continued.

Novation bedeutet Neuerung→Neuerungsvertrag Im österreichischen und deutschen Schuldrecht versteht man darunter eine Schuldersetzung in inhaltlicher Hinsicht, durch die die Parteien entweder eine Änderung des Rechtsgrundes oder des Hauptgegenstandes/Vertragsgegenstand vereinbaren. Die vielfach verbreitete Ansicht, bei der Novation komme kein neuer Vertrag zustande, sondern der alte Vertrag werde mit verändertem Inhalt fortgesetzt, geht juristisch fehl; die Novation ist ein übergesetzlicher Erlöschensgrund zum Erlöschen von Schuldverhältnissen. Das alte Schuldverhältnis erlischt vollständig, ein neues soll dieses ersetzen. Nach der Rechtsprechung des Bundesgerichtshofs zum Vorliegen oder Nichtvorliegen einer Novation ist bei gleichbetitelten Verträgen sogar von einer Vermutung auszugehen, dass der Wille der Parteien dahin auszulegen ist, dass der alte Vertrag erlöschen soll. Vereinbaren die Parteien dagegen zum Beispiel eine „Vertragsergänzung“ oder einen „Nachtrag“ so ist regelmäßig von einer Schuldänderung im vorgemeinten Sinne auszugehen, mit dem Inhalt, dass der bisherige Vertrag fortgesetzt wird.
