Соглашение о простоя - это форма враждебной защиты, в которой целевая компания получает обещание от недружелюбного участника торгов ограничить сумму, которую покупатель покупает или удерживает в целевой компании. Получив это обещание от потенциального приобретателя, целевая компания получает больше времени для создания других средств защиты от захвата. Во многих случаях целевая компания обещает взамен выкупить премию потенциальных акций приобретателя в целевом активе. Обыкновенные акционеры, как правило, не любят соглашения о простоях, поскольку они ограничивают свои потенциальные доходы от поглощения. В мае 2000 года компания Health Risk Management, Inc., медицинская компания, заключила соглашение о бездействии с Chiplease Inc., Banco Panamericano, Inc., Леон Гринблатт и Лесли Джабином, акционерной группой с примерно 14% акций HRM.
