Assemblée générale extraordinaire
Une assemblée générale extraordinaire, généralement abrégée en EGM, est une réunion de membres d'une organisation, des actionnaires d'une entreprise ou des employés d'un organisme officiel, qui se produit à un moment irrégulier. Le terme est habituellement utilisé lorsque le groupe tiendrait ordinairement une assemblée générale annuelle, mais lorsqu'il y a un problème qui nécessite l'apport de l'ensemble de l'adhésion et qu'il soit trop grave ou urgent d'attendre la prochaine AGA. Les membres et / ou les actionnaires doivent être informés du but de l'EGM afin qu'ils puissent assister à un poste où ils puissent discuter et exercer un jugement intelligent, sinon les résolutions adoptées sont invalides. Procédure: Avant l'EGM, le conseil d'administration de l'organisation aura convenu d'une ou plusieurs résolutions qui seront soumises aux actionnaires ou aux membres pour approbation à l'EGM. Le libellé de la résolution est envoyé aux actionnaires avec une note sur son importance. La théorie est que le conseil a une meilleure connaissance de la situation, et la résolution est en effet sa solution idéale, mais elle ne peut pas être dans l'intérêt des actionnaires individuels.
