Una filial, una filial, una filial o una sociedad hermana es una empresa que es propiedad total o parcial de otra sociedad que posee más de la mitad de las acciones de la filial y que normalmente actúa como una sociedad holding que al menos parcialmente o una sociedad matriz , Controla totalmente las actividades y políticas de la empresa filial. La filial puede ser una empresa, corporación o sociedad de responsabilidad limitada. En algunos casos es un gobierno o empresa estatal. La entidad controladora se denomina su sociedad matriz, sociedad matriz o sociedad de cartera. Una subsidiaria operativa es un término de negocios utilizado constantemente en la industria ferroviaria de Estados Unidos. En el caso de un ferrocarril, se refiere a una empresa que es una filial, pero que opera con su propia identidad, locomotoras y material rodante. En cambio, una subsidiaria no operativa sólo existiría en papel y utilizaría la identidad y el material rodante de la empresa matriz. Las filiales son una característica común de la vida empresarial, y todas las corporaciones multinacionales organizan sus operaciones de esta manera.
