La fausse représentation est une notion de droit des contrats qui se réfère à une fausse déclaration de fait faite par une partie à une autre partie, ce qui a pour effet d'inciter cette partie au contrat. Par exemple, dans certaines circonstances, de fausses déclarations ou des promesses faites par un vendeur de marchandises concernant la qualité ou la nature du produit que le vendeur peut constituer une déclaration inexacte. La constatation de fausses déclarations permet une réparation de la résiliation et parfois des dommages-intérêts en fonction du type de fausses déclarations. Selon Gordon v Selico 18 HLR 219, il est possible de faire une fausse déclaration par mots ou par conduite, bien que tout ce qui n'est pas dit ou fait est susceptible de constituer une fausse déclaration. Généralement, les déclarations d'opinion ou d'intention ne sont pas des déclarations de fait dans le contexte de fausses déclarations. Si une partie réclame des connaissances spécialisées sur le sujet discuté, il est plus probable que les tribunaux tiennent une déclaration d'opinion de cette partie en tant que déclaration de fait.
