Nell'ordinamento giuridico comune, un contratto è un accordo avente un oggetto legittimo fatto volontariamente da due o più parti, ciascuno dei quali intende creare uno o più obblighi giuridici tra di loro. Gli elementi di un contratto sono "offerta" e "accettazione" da "persone competenti" aventi capacità legale che scambiano "considerazione" per creare "reciprocità di obbligo". La prova di alcuni o tutti questi elementi può essere fatta per iscritto, anche se i contratti possono essere fatti interamente per via orale o per condotta. Le parti possono essere persone fisiche o persone giuridiche. Un contratto è una promessa giuridicamente impugnabile o un'impresa che qualcosa succederà o non accadrà. La parola promessa può essere usata come sinonimo giuridico per il contratto, anche se la cura è richiesta perché una promessa non può avere la piena disponibilità di un contratto, come quando si tratta di un accordo senza considerazione.
