În finanțele corporative, o obligațiune este un instrument de datorie pe termen mediu și lung, folosit de marile companii pentru a împrumuta bani, la o rată fixă a dobânzii. Termenul legal "debentură" se referea inițial la un document care creează sau recunoaște o datorie, dar în unele țări termenul este acum utilizat interschimbabil cu obligațiuni, acțiuni de împrumut sau note. O obligație este, așadar, ca un certificat de împrumut sau o obligațiune de împrumut care demonstrează faptul că societatea este obligată să plătească o anumită sumă cu dobândă și, deși banii ridicați de obligațiuni devin o parte a structurii capitalului societății, nu devin parte capital. Titlurile obligatorii sunt plătite înaintea obligațiunilor subordonate, iar pentru aceste categorii există rate diferite de risc și de câștig. Debitele sunt, în general, transferabile liber de către deținătorul de obligațiuni. Titularii de obligațiuni nu au drept de vot în cadrul adunărilor generale ale acționarilor, dar pot avea întâlniri sau voturi separate, de ex. cu privire la modificarea drepturilor legate de obligațiuni. Dobânda care le este plătită este o taxă împotriva profitului în situațiile financiare ale societății.
