The contract is a law governing the arrangement of the agreement. The agreement is an agreement between two or more parties on a matter. It is important to understand that contract terms are more specific while agreement terms are more common. Only agreements that have contractual characteristics only have legal implications. A brief example of the difference in contractual arrangements: A boyfriend has promised his girlfriend to shop for his girlfriend to watch the movie at 2pm tomorrow. At 2 pm the next day the girlfriend was in the stage but the boyfriend did not show up. Generally a girlfriend can not sue her boyfriend for failing to make a deal to spend watching the movie. A dealer has told the wholesaler that the dealer wanted to buy 100 pen units from the wholesaler. The dealer promised to pay the price of the 100 pen when the wholesaler sent the item to the dealer's shop. When the goods arrived at the dealer's shop, the trader changed his mind and did not want to pay the price of 100 pen units.

Kontrak adalah undang-undang yang mengawal urusan perjanjian. Perjanjian adalah suatu persetujuan di antara dua pihak atau lebih berkenaan sesuatu perkara. Perlulah difahami bahawa istilah kontrak adalah lebih khusus manakala istilah perjanjian adalah lebih umum. Hanya perjanjian yang mempunyai ciri-ciri kontrak sahaja yang mempunyai implikasi undang-undang. Contoh ringkas perbezaan perjanjian dengan kontrak: Seorang teman lelaki telah berjanji kepada teman wanitanya untuk membelanja teman wanitanya menonton wayang pada pukul 2 petang esok. Pada pukul 2 petang keesokan harinya si teman wanita berada di kawasan panggung tetapi si teman lelaki tidak muncul-muncul. Secara umumnya si teman wanita tidak boleh menyaman teman lelakinya kerana mungkir perjanjian untuk membelanjanya menonton wayang. Seorang peniaga telah memberitahu pemborong bahawa si peniaga mahu membeli 100 unit pen daripada si pemborong. Si peniaga berjanji akan membayar harga 100 unit pen tersebut apabila si pemborong menghantar barangan tersebut ke kedai si peniaga. Apabila barangan telah sampai ke kedai si peniaga, si peniaga bertukar fikiran dan tidak mahu membayar harga 100 unit pen tersebut.
