Capacitate (lege)
Capacitatea persoanelor fizice și juridice determină dacă acestea pot modifica obligatoriu drepturile, obligațiile și obligațiile lor, cum ar fi căsătoria sau fuzionarea, încheierea de contracte, oferirea de cadouri sau scrierea unei voințe valabile. Capacitatea este un aspect al statutului și ambele sunt definite de legea personală a unei persoane: ▪ pentru persoanele fizice, legea domiciliului sau lex domicilii în jurisdicțiile de drept comun și fie legea naționalității sau lex patriae, fie reședința obișnuită în dreptul civil state; ▪ pentru persoanele juridice, legea locului de înființare, lex incorporationis pentru companii, în timp ce alte forme de entitate economică își dobândesc capacitatea fie din legea locului în care au fost constituite, fie din legile statelor în care își înființează prezența în scopuri comerciale în funcție de natura entității și de tranzacțiile încheiate. Atunci când legea limitează sau interzice unei persoane să se angajeze în activități specificate, orice acorduri sau contracte în acest sens sunt fie anulate, fie anulate pentru incapacitate.
